Fruir Terms for UniHubb

These Terms cover your use of the UniHubb service, including account creation, community participation, course tools, and future paid subscriptions.

1. Acceptance of the Terms

UniHubb is operated by Fruir ("Fruir", "we", "us", or "our"). By accessing or using the Service, creating an account, or clicking to accept these Terms, you agree to be bound by them.

If you do not agree, do not access or use the Service.

2. Eligibility and Accounts

You must be at least 13 years old to use the Service. If you are below the age of majority where you live, you represent that you have permission from a parent or legal guardian to use the Service where required by law.

You are responsible for the accuracy of the information you provide, for keeping your password confidential, and for all activity that occurs through your account.

We may require school email verification, identity checks, or additional information before enabling certain features or keeping an account in good standing.

3. Service Description and Changes

UniHubb provides academic, community, and productivity tools, including messaging, communities, course management, calendar tools, syllabus processing, and subscription features.

We may add, change, suspend, or discontinue features, limits, integrations, or pricing at any time, with or without notice, to the extent permitted by law.

No feature should be treated as permanent or guaranteed unless we expressly state otherwise in writing.

4. License and Acceptable Use

Subject to your compliance with these Terms, Fruir grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for lawful personal and academic purposes.

You agree not to misuse the Service, attempt to interfere with it, reverse engineer it, scrape it at scale, circumvent access controls, or use it in a way that harms other users, our systems, or third parties.

Prohibited conduct includes harassment, spam, impersonation, abuse, fraud, malware, unauthorized automation, academic dishonesty, and any use that violates applicable law or institutional rules.

5. Academic Integrity

The Service is designed to support learning, organization, and collaboration. You remain solely responsible for your coursework, submissions, and compliance with school policies.

You must not use the Service to cheat, plagiarize, violate examination rules, obtain unauthorized answers, or facilitate academic misconduct.

We may remove content, restrict access, or terminate accounts if we believe the Service is being used in a way that threatens academic integrity or safety.

6. User Content and Data

You retain ownership of content you submit, upload, post, or store through the Service, subject to the rights you grant Fruir to operate and improve the Service.

By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, display, reproduce, adapt, and transmit that content as needed to provide, secure, maintain, and improve the Service.

You represent that you have all rights needed to submit the content and that your content does not infringe the rights of others or violate any law or policy.

We may preserve, disclose, or remove content when reasonably necessary to operate the Service, comply with law, respond to claims, enforce these Terms, or protect rights, property, or safety.

7. Privacy and Data Protection

Our collection and use of personal information is governed by our privacy practices and by applicable law. We process personal data to provide the Service, verify accounts, enforce policies, prevent fraud, improve products, and meet legal obligations.

You acknowledge that we may store and process information in Canada, the United States, and other jurisdictions where our vendors or service providers operate.

We may use third-party processors for hosting, authentication, analytics, payment processing, file handling, and AI or OCR features.

8. Subscription, Billing, and Renewals

The Service is currently free with full access to the features available today and does not collect subscription payments. When paid plans launch, the pricing, billing cycle, feature split, and cancellation rules will be shown clearly before any charge is made.

If you choose a paid plan after it launches, you will authorize Fruir and our payment processors to charge your selected payment method for recurring fees, applicable taxes, chargebacks, reversals, and other amounts due under these Terms.

You are responsible for keeping your billing information current once billing is active.

To the fullest extent permitted by law, fees will be non-refundable except where we expressly state otherwise or where a refund is required by applicable law.

If a payment fails, is reversed, or is disputed after billing launches, we may suspend or terminate paid features until the balance is resolved.

9. Third-Party Services

The Service may rely on or link to third-party tools and services, including payment processors, cloud hosting, analytics, authentication providers, AI services, and file-processing vendors.

Those third parties are governed by their own terms and privacy policies, and Fruir is not responsible for their acts or omissions except where applicable law requires otherwise.

10. Suspension and Termination

We may suspend, disable, limit, or terminate your access to some or all of the Service at any time if we believe you violated these Terms, created risk, failed to pay amounts due, or used the Service in a way that could harm Fruir, other users, or third parties.

You may stop using the Service at any time. Certain obligations, including payment obligations, indemnity, and limitations of liability, survive termination.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by law.

We do not guarantee that the Service will be uninterrupted, error-free, secure, or suitable for any particular purpose, or that content generated or surfaced by the Service will be accurate, complete, or current.

You use AI-generated, automatically extracted, or third-party data at your own risk and should independently verify important information such as deadlines, grades, and billing records.

12. Limitation of Liability

To the fullest extent permitted by law, Fruir will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption arising out of or related to your use of the Service.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Service will not exceed the greater of the amount you paid to Fruir for the Service in the 12 months before the event giving rise to the claim or 100 CAD, whichever is greater.

13. Indemnity

You agree to defend, indemnify, and hold harmless Fruir and its directors, officers, employees, contractors, and agents from and against claims, damages, liabilities, losses, and expenses arising out of or related to your use of the Service, your content, your breach of these Terms, or your violation of law or third-party rights.

14. Governing Law and Disputes

These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict of laws rules, unless applicable consumer protection law requires a different rule.

Unless otherwise required by law, you agree that disputes will be brought in the courts located in Nova Scotia, Canada, and that those courts will have exclusive jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may notify you through the Service, by email, or by other reasonable means.

Your continued use of the Service after the effective date of updated Terms means you accept the changes.
